Y Whittlesea is a vibrant, active community organisation seeking to make a positive difference in our community. The Y Whittlesea was originally established to support the health and wellbeing of the Whittlesea community through facility management of recreation centres and youth programming. Since 2014, a renewed focus and commitment to young people in the Ys in Australia has seen our footprint grow to include quality Early Learning, Disability Inclusion Services and Schools. All profits are used to grow these areas and support children and young people.

The Y Whittlesea has two (2) entities: YMCA Whittlesea Incorporated and YMCA Youth and Community Services Limited. Both entities are governed by their own voluntary Board of Directors, and one entity has Standing Committees to support the work of the Board.

What's the Opportunity?

We're looking for a dynamic and experienced Company Secretary/Governance Manager to support our Board at least 3 days a month on a contractor basis. Reporting directly to the Board Chairs, the Company Secretary is accountable to the Boards and is responsible for driving and advising on best practice in governance. In this role, you will champion the integrity of the organisation, promote high standards of ethical and corporate behaviour, and bridge the interests of the board or governing body, management, and stakeholders.

As the Company Secretary, you will play an important role in supporting the effectiveness of the Y Whittlesea Boards and relevant committees. Some of the key duties of this role will include:

  • Coordinating the completion and dispatch of board agendas, briefing papers and minutes.
  • Developing the Board calendar and work plan.
  • Managing the Board processes and ensuring members and Directors are compliant with the Corporations Act and the Company’s Constitution.
  • Overseeing the timely preparation of the annual report, annual return and Directors’ report.
  • Working with the Chairs to ensure effective operation of the Board, including the timely implementation of Board decisions and processes.

Hours of work: You must be able to commit to a minimum 3 days per month in order to service the governance calendar and consequent tasks required of the Y Whittlesea Boards. Board meetings are held on a monthly/bimonthly basis, along with additional Committee meetings and are conducted virtually or face to face in Whittlesea. Attendance at other board related meetings will also be required from time to time.

What We Hope You’ll Bring

  • Previous governance experience.
  • Governance/ company secretary qualification (or similar).
  • A good understanding of audit/internal controls.
  • A good understanding of risk management and industry knowledge.
  • Legal right to live and work in Australia.
  • Have (or be able to obtain) a Working with Children Check (WWCC) and National Police Check dated in the last 6 months.
